Next Play Studio terms of use

1. Acceptance
1.1 These terms govern your use of Next Play Studio, the web app at studio.nextplaysports.com.au (App).
1.2 By using the App, you agree to these terms. If you do not agree, you must not use the App.
2. Who we are
2.1 The App is provided by Next Play Sports (ABN 89 284 826 864) of Victoria, Australia (we, us, our).
3. Eligibility
3.1 You must be 18 or over and authorised to act for the club on whose behalf you use the App. These terms bind you and that club.
4. Early access terms
4.1 The early access terms in section 6 of the Next Play Studio early access guide form part of these terms. If they are inconsistent with these terms, the early access terms prevail to the extent of the inconsistency.
5. Acceptable and fair use
5.1 You must use the App lawfully and only to create content for your club.
5.2 You must not:
(a) create content that is unlawful, misleading, defamatory, offensive or infringes the rights of any person;
(b) interfere with, overload or attempt to gain unauthorised access to the App or the services it relies on;
(c) copy, resell, reverse engineer or scrape the App or its templates; or
(d) use automated means to access the App, or use any feature in excess of reasonable club use.
5.3 We may set usage limits on any feature.
6. Your content
6.1 You retain ownership of the material you upload to or create with the App (Your Content).
6.2 You grant us a non-exclusive, royalty-free licence to use, store, process and transmit Your Content only as necessary to provide the App.
6.3 You warrant that you hold all rights and permissions necessary to upload and use Your Content, and that its use through the App will not infringe the rights of any person or breach any law.
6.4 You are responsible for Your Content and for any post you publish.
7. Our intellectual property
7.1 We or our licensors own all intellectual property rights in the App, including its software, design and templates.
7.2 We grant you a non-exclusive, non-transferable licence to use the App and its templates to create content for your club and to publish that content on your club's channels.
8. Outside services
8.1 Certain features send information to third-party service providers for processing, as described in our privacy policy at nextplaysports.com.au/privacy. Output generated automatically may contain errors, and you must review it before publishing.
9. Data stored on your device
9.1 Club details and drafts are stored in your web browser, not on our systems, and we are not able to recover them if they are deleted.
10. Disclaimer
10.1 To the extent permitted by law, the App is provided "as is" and "as available", without any warranty that it will be uninterrupted, error-free or fit for a particular purpose.
11. Limitation of liability
11.1 To the extent permitted by law:
(a) we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, data, goodwill or opportunity; and
(b) our total liability arising out of or in connection with these terms or the App is limited to A$100.
11.2 Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded, restricted or modified.
12. Indemnity
12.1 You indemnify us against any claim by a third party arising from Your Content or a breach of clause 6.3, except to the extent the claim is caused by our negligence or breach of these terms.
13. Suspension and termination
13.1 You may stop using the App at any time.
13.2 We may suspend or terminate your access to the App, with or without notice, if you breach these terms, if we reasonably consider it necessary to protect any person or the App, or if we cease to provide the App.
13.3 Clauses 6, 7, 10, 11 and 12 survive termination.
14. Changes to these terms
14.1 We may amend these terms by publishing an updated version. We will notify you of any material change before it takes effect. Your continued use of the App after that date constitutes acceptance of the amended terms.
15. Governing law
15.1 These terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth courts of Australia.
